1. Acceptance of Terms

By accessing or using the Zoeist website (zoeist.org), including any subdomains, content, functionality, and services offered on or through the website (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our Services.

These Terms constitute a legally binding agreement between you ("you" or "User") and Zoeist, Inc. ("Zoeist," "we," "us," or "our"), a Georgia nonprofit corporation recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code (EIN: 33-2539843).

By using our Services, you also agree to our Privacy Policy and Acceptable Use Policy, which are incorporated into these Terms by reference.

2. Description of Services

Zoeist is a 501(c)(3) nonprofit organization dedicated to youth development and empowerment. Through our website, we provide the following Services:

• Information about our mission, programs, and community impact • An online donation platform enabling one-time and recurring charitable contributions • Program descriptions and enrollment information • Volunteer and community engagement opportunities • Tax-deductible donation receipts and year-end giving statements • Newsletters and organizational updates

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice, and without liability to you.

3. User Eligibility

To use our Services, you must be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater. If you are under 18, you may only use our Services with the involvement and consent of a parent or legal guardian.

By using our Services, you represent and warrant that you have the legal capacity and authority to enter into these Terms and to comply with all applicable local, state, national, and international laws and regulations.

4. Donations and Payments

All donations made through our website are processed securely by Stripe, a PCI-compliant third-party payment processor. By making a donation, you agree to Stripe's terms of service in addition to these Terms.

Tax-Deductible Contributions. Zoeist, Inc. is a tax-exempt organization under Section 501(c)(3) of the Internal Revenue Code. Donations to Zoeist are tax-deductible to the fullest extent permitted by law. No goods or services are provided in exchange for donations unless explicitly stated. You will receive an electronic receipt for each donation, and a year-end giving statement summarizing your annual contributions.

Recurring Donations. If you elect to make a recurring donation, your chosen payment method will be charged automatically at the frequency you select (e.g., monthly) until you cancel. You may cancel a recurring donation at any time by contacting us at [email protected] or by calling (470) 964-6039.

Refund Policy. Because charitable donations are tax-deductible and made voluntarily, all donations are generally considered final and non-refundable. However, Zoeist reserves the right, at its sole discretion, to issue refunds in cases involving processing errors, duplicate charges, unauthorized transactions, or other exceptional circumstances. Refund requests must be submitted in writing to [email protected] within 30 days of the transaction date. If a refund is issued for a donation for which a tax receipt was provided, the donor is responsible for adjusting their tax records accordingly.

Currency. All donations are processed in United States Dollars (USD).

5. Intellectual Property

All content on the Zoeist website, including but not limited to text, graphics, logos, images, photographs, audio, video, software, and the compilation thereof (collectively, "Content"), is the property of Zoeist, Inc. or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

The Zoeist name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Zoeist, Inc. You may not use such marks without our prior written permission.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the website and its Content for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content without our prior written consent, except as incidental to normal web browsing.

6. User Conduct

When using our Services, you agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity • Interfere with or disrupt the Services or servers or networks connected to the Services • Attempt to gain unauthorized access to any part of the Services, other accounts, computer systems, or networks connected to the Services • Use any robot, spider, scraper, or other automated means to access the Services without our express written permission • Introduce any viruses, trojan horses, worms, or other malicious or technologically harmful material • Engage in any activity that could damage, disable, overburden, or impair the functioning of the Services • Use the Services to transmit unsolicited or unauthorized advertising, spam, or promotional materials • Collect or harvest any personally identifiable information from other users of the Services • Use the Services in any manner that could disparage, tarnish, or harm the reputation of Zoeist

We reserve the right to terminate or restrict your access to our Services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZOEIST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

ZOEIST DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.

ANY CONTENT DOWNLOADED FROM OR OTHERWISE ACCESSED THROUGH THE SERVICES IS ACCESSED AT YOUR OWN RISK, AND YOU SHALL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY OR PERSON, INCLUDING YOUR COMPUTER SYSTEM, OR ANY LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF SUCH CONTENT.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM ZOEIST OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZOEIST, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICES • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES • ANY CONTENT OBTAINED FROM THE SERVICES • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT ZOEIST HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL ZOEIST'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICES EXCEED THE AMOUNT YOU HAVE PAID TO ZOEIST IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

9. Indemnification

You agree to defend, indemnify, and hold harmless Zoeist, Inc., its officers, directors, employees, volunteers, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorney's fees) arising from or related to:

• Your use of and access to the Services • Your violation of any provision of these Terms • Your violation of any third-party right, including any intellectual property, privacy, or proprietary right • Any claim that your use of the Services caused damage to a third party

This indemnification obligation shall survive the termination of these Terms and your use of the Services.

10. Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Georgia, United States of America, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in the State of Georgia, and you hereby consent to the personal jurisdiction and venue of such courts.

11. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute"), you agree to first attempt to resolve the Dispute informally by contacting us at [email protected]. We will make good-faith efforts to resolve any Dispute within thirty (30) days of receiving your written notice.

If the Dispute cannot be resolved informally within thirty (30) days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its rules, or through the state or federal courts located in the State of Georgia. Any arbitration shall take place in the State of Georgia.

You agree that any Dispute resolution proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than through arbitration, you and Zoeist each waive any right to a jury trial.

12. Changes to Terms

Zoeist reserves the right to modify or replace these Terms at any time at our sole discretion. If we make material changes to these Terms, we will notify you by posting the updated Terms on this page and updating the "Effective Date" at the top of these Terms.

Your continued use of the Services after the posting of revised Terms constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically for updates. If you do not agree to the modified Terms, you must discontinue your use of the Services.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect, and the invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.

14. Entire Agreement

These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Zoeist, Inc. regarding your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
